IKWAGO™ Terms of Service

These Terms of Service (“Terms”) govern your access to and use of IKWAGO™, including the IKWAGO.com website, demonstrations, intake tools, workflow tools, data-structuring services, integrations, and related services (collectively, the “Services”).

IKWAGO™ is owned and operated by Carbon Blue Solutions Limited LLC, a Florida limited liability company (“Company,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What IKWAGO Does

IKWAGO™ helps businesses convert customer-provided material into structured, multilingual, system-ready records.

Customer-provided material may include WhatsApp messages, text, voice notes, photos, map pins, uploaded files, links, form entries, and other intake content. IKWAGO may help organize this material into records, listings, quote requests, service requests, booking enquiries, applications, marketplace submissions, customer intake files, or other workflow outputs.

IKWAGO is a business intake and workflow tool. It is not limited to real estate.

2. Demonstrations and Example Workflows

IKWAGO may be demonstrated through example workflows, demo websites, client examples, or test environments. Any demonstration is provided for illustration only and does not limit the broader use of IKWAGO across different industries or workflows.

3. Eligibility

You may use the Services only if you are legally able to enter into a binding agreement and are using the Services for lawful business or personal purposes.

If you use the Services on behalf of a company or organization, you confirm that you have authority to bind that company or organization to these Terms.

4. User Content and Submitted Material

You are responsible for any content, data, files, images, audio, text, links, contact details, property details, business information, customer information, or other material that you submit or allow to be submitted through the Services (“User Content”).

You confirm that:

  • You have the right to submit the User Content.

  • The User Content is accurate to the best of your knowledge.

  • The User Content does not violate any law or third-party rights.

  • The User Content does not contain unlawful, misleading, abusive, harmful, or infringing material.

We may reject, suspend, remove, or refuse to process any User Content at our discretion.

5. Processing and Output

IKWAGO may use automated tools, AI-assisted systems, translation tools, transcription tools, formatting tools, workflow rules, and manual review processes to convert submitted material into structured outputs.

You acknowledge that automated extraction, transcription, translation, formatting, classification, and data structuring may contain errors. You are responsible for reviewing and approving any output before relying on it, publishing it, sending it to customers, or using it in a business process.

We do not guarantee that any output will be complete, error-free, legally compliant, commercially suitable, or suitable for a particular purpose.

6. Client Systems and Integrations

Where we provide integrations, API delivery, CMS delivery, webhook delivery, structured data delivery, email delivery, dashboard delivery, or other system connections, you are responsible for ensuring that your own systems, accounts, permissions, access rights, compliance obligations, and data-handling procedures are properly configured.

We are not responsible for third-party platforms, messaging services, hosting providers, CMS platforms, CRM systems, payment providers, email providers, automation tools, or other services outside our control.

7. Third-Party Services

IKWAGO may interact with or rely on third-party services, including messaging platforms, hosting providers, AI providers, transcription services, translation services, analytics tools, payment providers, email providers, automation tools, and other technical vendors.

We are not responsible for outages, errors, delays, policy changes, account restrictions, data handling, service limitations, or pricing changes caused by third-party services.

8. Fees and Payment

Fees, setup costs, subscription terms, usage charges, implementation fees, custom development fees, or integration fees will be stated separately in an order form, invoice, proposal, service agreement, or other written communication.

Unless otherwise stated in writing:

  • Fees are due as invoiced.

  • Custom setup, configuration, integration, or implementation work may be non-refundable once work has started.

  • Late or unpaid invoices may result in suspension of Services.

  • Prices may change for future services or renewal periods.

9. Acceptable Use

You may not use the Services to:

  • Break the law.

  • Mislead, defraud, harass, or harm others.

  • Submit content you do not have the right to use.

  • Upload malicious code or attempt to interfere with our systems.

  • Scrape, reverse engineer, copy, resell, or exploit the Services without permission.

  • Use the Services to process unlawful, highly sensitive, or regulated data without our prior written approval.

  • Circumvent usage limits, security controls, or access restrictions.

  • Use the Services in a way that damages, disables, overloads, or impairs our systems or reputation.

10. Sensitive and Regulated Data

IKWAGO is not designed for unrestricted processing of highly sensitive or regulated data unless agreed in writing.

You must not submit medical records, financial account credentials, government identity documents, children’s data, protected health information, or other highly sensitive information unless we have expressly agreed in writing and appropriate safeguards are in place.

11. Intellectual Property

IKWAGO™, the IKWAGO name, workflows, software, designs, processes, templates, logic, documentation, branding, and related materials are owned by Carbon Blue Solutions Limited LLC or its licensors.

You may not copy, reproduce, modify, distribute, reverse engineer, resell, or create derivative works from the Services except as expressly permitted in writing.

You retain ownership of your own User Content, subject to the rights you grant us to operate and provide the Services.

12. License to Process User Content

You grant us a limited right to host, process, store, transmit, format, analyze, translate, transcribe, display, and otherwise use User Content as necessary to provide, improve, secure, and support the Services.

Where IKWAGO is used for a client’s business workflow, we will process client-provided data in accordance with the applicable agreement, these Terms, and our Privacy Policy.

13. Confidentiality

Where we receive non-public business information from a client, we will use reasonable efforts to keep that information confidential and use it only to provide the Services, support the client relationship, comply with legal obligations, or protect our rights.

Confidentiality does not apply to information that is public, already known to us, independently developed, lawfully received from another source, or required to be disclosed by law.

14. No Professional Advice

IKWAGO does not provide legal, financial, tax, real estate, immigration, insurance, medical, or other professional advice.

Any structured output, summary, translation, classification, listing, or record produced by IKWAGO is for workflow and administrative support only. You should obtain professional advice where required.

15. Service Availability

We aim to provide reliable Services, but we do not guarantee uninterrupted availability. Services may be delayed, interrupted, suspended, modified, or discontinued due to maintenance, technical issues, third-party failures, security concerns, legal requirements, or business reasons.

16. Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free performance.

17. Limitation of Liability

To the fullest extent permitted by law, Carbon Blue Solutions Limited LLC will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost data, lost business opportunities, reputational harm, or business interruption.

To the fullest extent permitted by law, our total liability for any claim relating to the Services will not exceed the amount paid by you to us for the Services giving rise to the claim during the three months before the claim arose, or USD $100 if no amount was paid.

18. Indemnity

You agree to defend, indemnify, and hold harmless Carbon Blue Solutions Limited LLC from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Services, your User Content, your violation of these Terms, your violation of law, or your infringement of third-party rights.

19. Suspension and Termination

We may suspend or terminate access to the Services if we believe you have violated these Terms, failed to pay amounts due, created legal or security risk, submitted improper content, or misused the Services.

You may stop using the Services at any time. Any outstanding payment obligations remain due.

20. Changes to the Services or Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last Updated” date. Continued use of the Services after changes are posted means you accept the updated Terms.

21. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
